These Terms of Service ("Terms") form a legally binding agreement between you ("you" or "User") and Ingenia Labs ("we", "us", or "our"), governing your use of the Arche platform and all related services (collectively, the "Service").
By creating an account or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Service.
These Terms are governed by the laws of New Zealand. Any dispute arising from these Terms or your use of the Service will be subject to the exclusive jurisdiction of the courts of New Zealand.

By using the Service, you represent and warrant that you meet these requirements.
You must provide a valid email address and create a secure password. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
We may require you to set up two-factor authentication (2FA) before accessing the Service. You agree to complete any security requirements we reasonably impose to protect your account and the platform.
You must notify us immediately at privacy@ingenialabs.co.nz if you become aware of any unauthorised access to or use of your account. We are not liable for any loss arising from unauthorised use of your account where you have failed to take reasonable steps to protect your credentials.
New accounts are granted a free trial period (the length of which is displayed in your account settings). At the end of the trial period, access to the Service may be restricted unless continued access is granted by us at our sole discretion.
We reserve the right to modify, extend, or remove trial access at any time without notice. Trial access is provided "as is" and carries no guarantee of continued availability.
You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

You retain ownership of all content you create, upload, or generate through the Service ("Your Content"). We do not claim ownership of Your Content.
By using the Service, you grant us a limited, non-exclusive, royalty-free licence to store, process, and transmit Your Content solely for the purpose of providing the Service to you. We do not use Your Content to train AI models.
You are solely responsible for Your Content and the consequences of submitting it through the Service. You warrant that Your Content does not infringe any third-party rights and that you have all necessary rights and permissions to submit it.
The Service uses third-party AI models to generate content. AI-generated content may be inaccurate, incomplete, or unsuitable for your purposes. You are solely responsible for reviewing, verifying, and deciding whether to use any AI-generated output. We make no warranty as to the accuracy, reliability, or fitness for purpose of AI-generated content.
We reserve the right to suspend or terminate your account and access to the Service at any time, with or without notice, and without liability to you, for any reason including but not limited to:
We are not required to provide reasons for suspension or termination. Where reasonably practicable, we will give you advance notice; however, we may act immediately where we consider it necessary to protect the security or integrity of the Service.
You may close your account at any time by contacting us at privacy@ingenialabs.co.nz. Upon closure, your data will be deleted in accordance with our Privacy Policy.
Upon termination, your right to access and use the Service ceases immediately. Sections of these Terms that by their nature should survive termination (including sections 6, 8, 9, and 10) will continue to apply.
All intellectual property rights in the Service, including but not limited to software, design, trademarks, and underlying technology, are owned by or licensed to us. Nothing in these Terms grants you any rights in the Service other than the limited right to use it in accordance with these Terms.
The Ingenia Labs and Arche names, logos, and any associated marks are our trade marks. You must not use them without our prior written consent.
To the maximum extent permitted by law, the Service is provided "as is" and "as available" without any warranty of any kind, whether express, implied, or statutory.
We do not warrant that the Service will be uninterrupted, error-free, secure, or free from viruses or other harmful components. We do not warrant that any information obtained through the Service will be accurate or reliable.
Nothing in these Terms excludes any guarantee or warranty that cannot lawfully be excluded under the Consumer Guarantees Act 1993 or the Fair Trading Act 1986 (New Zealand), where those Acts apply to you as a consumer. If you are acquiring the Service for the purposes of a business, you acknowledge that the Consumer Guarantees Act 1993 does not apply.
To the maximum extent permitted by applicable New Zealand law, we will not be liable to you for any:
Our total aggregate liability to you for any claim arising from or related to these Terms or the Service shall not exceed NZD $100.
Nothing in this section limits our liability for fraud, wilful misconduct, or any liability that cannot be excluded or limited under the Consumer Guarantees Act 1993 or Fair Trading Act 1986 where those Acts apply.
The Service integrates with third-party AI model providers and infrastructure services (see our Privacy Policy for a full list). We are not responsible for the availability, accuracy, or performance of these third-party services. Your use of third-party services is subject to their respective terms and privacy policies.
The Service may provide web search results sourced from third-party search providers. We do not endorse and are not responsible for any third-party content surfaced through web search features.
We do not guarantee that the Service will be available at any particular time or that it will be free from interruptions. We reserve the right to:
We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
We may update these Terms at any time. We will notify you of material changes by updating the "Last updated" date above and, where appropriate, by sending you an email notification. Your continued use of the Service after we post changes constitutes your acceptance of the updated Terms.
If you do not agree with updated Terms, you must stop using the Service and may close your account.
These Terms are governed by and construed in accordance with the laws of New Zealand. You submit to the non-exclusive jurisdiction of the courts of New Zealand for the resolution of any dispute.
If any provision of these Terms is found to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements and understandings.
Our failure to enforce any provision of these Terms will not be deemed a waiver of our right to enforce it in the future.
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
